New Jersey Adopts Uniform Trade Secrets Act

On December 5, 2011 the New Jersey Assembly approved the passage of the New Jersey Trade Secrets Act. Governor Christie is expected to sign the bill, which will make New Jerseythe 47^th state to adopt some version of the Uniform Trade Secrets Act. The Act largely codifies existing case law inNew Jersey. It is effective immediately but does not apply to misappropriations of trade secrets that pre-date the effective date, even in the case of misappropriations that continue after the effective date.

A trade secret is defined in the Act as:

[I]nformation, held by one or more people, without regard to form, including a formula, pattern, business data compilation, program, device, method, technique, design, diagram, drawing, invention, plan, procedure, prototype or process, that:

(1) Derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use; and

(2) Is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.

The Act authorizes the recovery of damages for misappropriation of trade secrets, measured by both actual loss and unjust enrichment, as well as injunctive relief.

A court may award attorney’s fees and the costs of expert witnesses to the prevailing party in a misappropriation case if

a. willful and malicious misappropriation exists;

b. a claim of misappropriation is made in bad faith; or

c. a motion to terminate an injunction is made or resisted in bad faith. Bad faith is that which is undertaken or continued solely to harass or maliciously injure another, or to delay or prolong the resolution of the litigation, or that which is without any reasonable basis in fact or law and not capable of support by a good faith argument for an extension, modification or reversal of existing law.

As originally proposed, the legislation created a presumption in favor of granting protective orders in trade secret litigation. As adopted, however, the Act authorizes the court to presume the secrecy of an alleged trade secret in a manner consistent with the New Jersey Court Rules.

The Act establishes a three-year statute of limitations that begins to run when the misappropriation was discovered or should have been discovered, using “reasonable diligence.” The rights created under the Act are in addition to, rather than in abrogation of, other common law and statutory rights.

In response to the Act, businesses should continue to maintain a strong trade secrets policy, to limit access to such secrets to individuals with a need to know, to require strict non-disclosure agreements and to monitor and pursue potential misappropriations vigilantly.

Used Basket Centrifuge Equipment: Purchasing Guide

Basket centrifuge equipment separates solids from liquids. The equipment has not changed significantly in recent years and a used basket centrifuge offers a high return on investment. The life of a typical basket centrifuge from a reputable manufacturer can exceed 20 years and its life span extended by 10 years with proper maintenance and care of the basket. The most important considerations when buying a new or used basket centrifuge are cost, quality and delivery time.

Basket Centrifuge Operation

A basket centrifuge operates using centrifugal force. When slurry is added to a rotating basket, liquid passes through perforated walls while retaining solids. The faster a basket centrifuge spins, the greater the gravitational pull and particle separation.

Basket Wall Characteristics

The inner basket wall can be solid or perforated. Solid inner walls allow solids to build up against the wall. As the basket fills with liquid, a skimmer tube siphons liquid through the top of the centrifuge. It is used when there are more solids than liquids. Perforated inner walls have a mesh screen covering the wall to trap solids but allowing liquid to pass through both the screen and holes into the outer chamber. When the liquid reaches the outer chamber, it’s discharged through an outlet pipe. It’s used if there are more liquids than solids. The solids are discharged through the top or bottom of the inner basket. If discharged through the top, it is removed manually or with an overhead crane that lifts the basket out of the centrifuge for cleaning. If solids are discharged from the bottom, a scraper arm scrapes the cake from the wall where it falls to the bottom of the basket.

Optional Extras

When purchasing a used basket centrifuge, optional extras include: cake sensor, cleaning in place (CIP) system, nitrogen blanking system, and vibration sensor. A cake sensor determines the thickness of the cake buildup on the screen and automatically stops the centrifuge once the programmed thickness is obtained. Without it, the task has to be performed manually. A CIP system performs automatic washing. A nitrogen blanking system prevents explosions by neutralizing any fumes in the chamber. A vibration sensor shuts off the centrifuge if vibrations allow the machine to spin out of control.

In addition, bottom discharge units can have a single or double action plow. A double action plow makes two passes around the basket. The first passes around the top and the second runs slightly lower to ensure all the cake is scraped off.

Basket centrifuges are used in the making of pharmaceuticals and fine chemicals produced in batches. Examples include antibiotics, citric acid, benzene, penicillin, and amino acids. Common manufacturers of basket centrifuges include: Tolhurst, Western States, Sharples, Rousselet, DeLaval, Broadbent, Ametek, Ketema, and Krauss Maffei.
